Terms of Use

Definitions:

“She’s Legit” means She’s Legit, LLC, She’s Legit, and its representatives, agents, employees, affiliates, successors, and assigns.

“You” refers to you, as a purchaser of any of She’s Legit’s digital products, including but not limited to contract templates, eBooks, worksheets, educational materials, and courses.

“Agreement” means these Terms of Use.

“Products” means She’s Legit’s digital products, including but not limited to contract templates, eBooks, worksheets, educational materials, and courses.

 “Site” means www.She’s Legit.com, She’s Legit LLC, its affiliates and subsidiaries, as well as all of She’s Legit LLC’s social media accounts, public boards, groups, and other channels.

Agreement:

By purchasing a contract template, you agree to these Terms of Use, which are legally binding on you. You are required to read these Terms of Use before purchasing any of She’s Legit’s products.

She’s Legit Is Not a Law Firm.

No Attorney-Client Relationship. She’s Legit is not a law firm, and your purchase of any products from She’s Legit does not create an attorney-client relationship. She’s Legit’s products are provided for educational and informational purposes only. They are not legal advice. Communications between you and She’s Legit do not qualify for the attorney-client or work product privileges.

No Substitute for Legal or Other Professional Advice. She’s Legit provides legal education services and products to female founders. A lawyer drafted and reviewed the products created by She’s Legit. However, She’s Legit is not a law firm, and She’s Legit’s contract templates do not act as a substitute for legal advice. She’s Legit recommends that you consult with an attorney who is licensed in your state to ensure the contract terms are valid and enforceable in your state.

You understand that She’s Legit is not a law firm. You further understand that She’s Legit’s products are not to be used as a substitute for professional advice by legal, mental, medical, or other qualified professional and will seek independent professional guidance for such matters.

Age Requirements. By purchasing a contract template, you represent that you are over the age of eighteen (18). She’s Legit does not knowingly collect personal information or data from visitors under eighteen (18) years of age, and you may not purchase She’s Legit’s products if you are under the age of eighteen (18).  

Payment Terms, Refund Policy, and Chargebacks. When you purchase She’s Legit’s products on She’s Legit’s website, you agree to allow She’s Legit to charge you via the payment method selected by you on the Site. You also authorize She’s Legit to share your personal information and payment information with all third-party vendors necessary to complete the transaction (including She’s Legit’s website provider and payment processors). All payments made for the contracts are final, irrevocable, and nonrefundable. She’s Legit does not accept chargebacks and reserves the right to report any chargebacks to credit reporting agencies.

Intellectual Property Rights. She’s Legit owns all the copyrights to all products for sale on Sheslegit.com. She’s Legit retains all ownership rights, including copyright and any other intellectual property rights to the products.

License to Client. Upon full payment of the agreed-upon fees, She’s Legit grants you a non-exclusive, irrevocable, worldwide, perpetual, non-sublicensable, royalty-free license to use and reproduce the purchased product solely for your own personal or business use. This license does not grant you the right to resell, distribute, modify, or use the products for any purposes beyond the scope of this Agreement without She’s Legit’s express written consent. The products are She’s Legit’s property and may not be distributed or sold to any other person other than as outlined in this paragraph.

You may not republish, reproduce, distribute, modify, duplicate, copy, sell, or display the contract templates or any elements of the contract templates to anyone for any purpose other than as outlined in this Agreement. Doing so is a violation of copyright law, and She’s Legit will prosecute it to the full extent of the law.

Client Commitment. You are responsible for creating and implementing your own results. You agree that She’s Legit is not and will not be liable for any actions or inaction, or for any direct or indirect result of any goods or services provided by She’s Legit.

Assumption of Risk and Release of Claims. You have chosen to work with She’s Legit, and you assume full responsibility for your use of any products sold by She’s Legit. In exchange for being permitted to purchase She’s Legit’s products, you knowingly, voluntarily, and expressly waive any claim you may have or may acquire against She’s Legit for any injury, condition, or damages you may sustain as a result of using She’s Legit’s products other than those resulting from gross negligence or willful misconduct on part of She’s Legit. 

Limitation of Damages. Except as expressly set forth herein, in any action or proceeding arising out of, relating to or concerning this Agreement, including any claim of breach of contract, liability shall be limited to compensatory damages proximately caused by the breach. Neither party shall, under any circumstances, be liable to the other party for consequential, incidental, indirect or special damages, including but not limited to loss of actual or anticipated profits or income, punitive damages, loss of revenue; loss of contracts; loss of business; loss of opportunity; loss of goodwill; loss of reputation; loss of, damage to or corruption of data; or any indirect or consequential loss, whether such loss or damage was foreseeable or in the contemplation of the parties.

No Guarantee of Results and No Warranty. She’s Legit does not and cannot guarantee any specific results from its products. You are responsible for filling out and completing the products and contract templates, and you are responsible for ensuring the products are appropriate for your business. She’s Legit cannot guarantee its contract templates will be valid in all situations. She’s Legit recommends you consult with an attorney if you have questions regarding whether a specific contract template will protect your business and to ensure you correctly filled out the contract template.

Products and contract templates are informational and are provided on an “As-Is” basis. She’s Legit expressly disclaims all warranties and conditions, whether express, implied, or statutory. This includes but is not limited to all warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Indemnification. You agree to indemnify, defend, and hold harmless She’s Legit, its affiliates, employees and agents from and against any and all third party suits, claims, demands, causes of action, liabilities, damages, judgments, losses, costs and expenses, including reasonable legal expenses and attorney’s fees, to the extent such losses result from any breach of the Agreement or violation of any law by you or breach of contractual or fiduciary obligation owed by you to a third party. Additionally, you shall indemnify and hold Company harmless against any claims or damages arising from the unauthorized use of third-party materials used or otherwise provided by you.

Security. She’s Legit does not warrant that that the products, website, links, or the servers that make them available are free of viruses or other harmful components. She’s Legit shall not be liable for any damages that result from the use of or inability to use the contract templates or links.  

Use of Your Testimonials. If you leave a review on any of She’s Legit’s channels or any third-party sites, you give She’s Legit permission to use any review you submit for advertising and marketing purposes. She’s Legit may also identify you by first name or username when using your review for advertising and marketing purposes.

Use Outside of United States. She’s Legit’s contract templates were not drafted for use outside the United States and are not intended for use outside the United States.

Immediate Injunction for Intellectual Property Violations. Both parties acknowledge that a violation of the intellectual property terms may cause irreparable harm for which monetary damages alone would not be a sufficient remedy. If a breach of the above Intellectual Property terms set forth in this Agreement occurs, either party may seek an immediate injunction to prevent further violation of intellectual property rights.

To do so, the party seeking the injunction must provide written notice to the other party detailing the alleged breach and the specific provisions of the intellectual property terms that have been violated. Upon receiving the notice, the alleged breaching party shall have a period of three (3) days to cure the identified breach. If the alleged breach is not cured within the specified period, the aggrieved party may seek an immediate injunction by filing an application with the appropriate court. Considering the urgency and the potential irreparable harm to its intellectual property rights, the aggrieved party shall have the right to seek injunctive relief without the need to post a bond or security. The granting of an injunction shall not prevent the aggrieved party from seeking additional remedies, including monetary damages, through further legal proceedings.

Governing Law. Any and all claims or causes of action related to the enforcement of this Agreement and any claims for damages that may arise from the performance of this Agreement (whether based in contract, tort, or statutory) that may be based upon, arise out of or relate to this Agreement, or the negotiation, execution, or performance of this agreement (including any claim or cause of action based upon, arising out of or related to any representation or warranty made in or in connection with this agreement or as an inducement to enter into this Agreement), shall be governed by, and enforced in accordance with, the laws of the federal and state courts in Orange County, Florida, in the United States of America, including its statutes of limitations, regardless of this Agreement’s place of execution and place of performance.

Mediation. In the event of any dispute related to this Agreement, the parties agree to first attempt to resolve such dispute through mediation with a jointly selected, neutral mediator before commencing legal proceedings. The parties agree to cooperate and act in good faith when selecting the mediator, scheduling mediation, and attending mediation. The costs of the mediation shall be equally split between the parties.

Attorneys’ Fees. In the event of any dispute between the parties concerning the terms and provisions of this Agreement, or an action for damages arising from this Agreement, the party prevailing in such dispute shall be entitled to collect from the other party all costs incurred in such dispute, including reasonable attorneys’ fees.

You agree that if She’s Legit is forced to initiate collection actions against She’s Legit for non-payment of fees owed by She’s Legit, you will reimburse She’s Legit for any such collection fees, including reasonable attorneys’ fees, incurred in connection with such collection actions.

Severability. Any provision of this Agreement which is held to be void or unenforceable shall not invalidate the remaining provisions of this Agreement.

No Waiver. The failure of a party to insist upon strict adherence to any term of this Agreement shall not be considered a waiver of such party’s rights or deprive such party of the right to later insist upon strict adherence to that term or any other term of this Agreement.

No Assignment. The parties may not assign any rights under this Agreement without prior written consent of both parties.

Entire Agreement. This Agreement, together with the terms and conditions, constitutes the entire Agreement between the parties with respect to the scope of services and subject matter herein. It supersedes any prior agreements and understandings between the parties.

Changes to Terms of Use. You can review the most current version of the Terms of Use at any time on this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Use by posting updates and changes to our website. It is your responsibility to check the Site periodically for changes. Your continued use of or access to the Site following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

By purchasing any of She’s Legit’s products, you understand and voluntarily agree to the terms of this Agreement. You certify that you have read She’s Legit’s Terms of Use and fully understand the contents.
